Triviolt Partner Program Agreement

This Partner Program Agreement (the "Agreement") is entered into between Triviolt LLC, a North Carolina limited liability company ("Triviolt," "we," "us," or "our"), and the individual or entity enrolling in the Triviolt Partner Program (the "Partner," "you," or "your"). By clicking to accept, signing electronically, or participating in the Program, you agree to be bound by this Agreement.

1. The Program

The Triviolt Partner Program (the "Program") lets you earn commissions by referring new paying customers to Triviolt's subscription services (the "Service"). When you enroll, you receive a unique partner link and, where applicable, a personalized promotion code (together, your "Partner Tools"). Customers who subscribe through your Partner Tools are attributed to you, and you earn commissions on the revenue they generate, subject to the terms below.

Participation is free. Nothing in this Agreement guarantees any minimum earnings, referral volume, or program duration.

Eligibility. You must be at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and legally able to form a binding contract. If you enroll on behalf of an entity, you represent that you are authorized to bind it.

2. Definitions

• "Referred Customer" — a person who has never held a paid Triviolt subscription and who begins their first paid subscription attributed to your Partner Tools under Section 4. The Program is for new customers only: a person who previously held a paid subscription that was cancelled, expired, or refunded does not qualify, even if they return through your Partner Tools.
• "Referral" — a Referred Customer's attributed subscription.
• "Commission Window" — the twelve (12) consecutive months beginning on a Referred Customer's first cleared subscription payment. Commissions accrue only on Collected Revenue within this window.
• "Collected Revenue" — the subscription subtotal actually paid by a Referred Customer after any audience discount, excluding: (a) indirect taxes (VAT, GST, sales tax, and similar); (b) amounts refunded, disputed, charged back, or credited; (c) account adjustments; and (d) any non-subscription charges. Amounts later refunded, disputed, or charged back are reversed under Section 6.
• "Qualified Sale" — a subscription payment that has cleared and has survived the 14-day hold period in Section 6 without refund, dispute, or chargeback.
• "Paying Referred Customer" — a unique Referred Customer with at least one Qualified Sale. A customer whose payments have all been refunded, disputed, charged back, or otherwise reversed is not a Paying Referred Customer. This definition applies wherever this Agreement counts paying customers, including the tier thresholds (Section 3.2), the first-payout gate (Section 6), and the complimentary account (Section 9).
• "Commission Rate" — the percentage applied to Collected Revenue to compute your commission, set under Section 3 and locked per Referral under Section 3.3.

3. Commissions

3.1 Launch rate

Your Commission Rate is 15% of Collected Revenue earned during each Referral's Commission Window, unless a different rate applies to you under Section 3.2 (performance ladder) or a separately signed addendum.

Your audience receives 10% off their first subscription payment when they use your promotion code (first payment only; not recurring).

3.2 Performance ladder

Commission Rates increase with performance, on published thresholds:

Tier upgrades are prospective: a higher rate applies only to Referrals created after you reach the threshold. Existing Referrals keep the rate locked at their creation (Section 3.3). Thresholds count Paying Referred Customers as defined in Section 2. Triviolt evaluates tier thresholds in its regular program review. Thresholds and tiers may be adjusted prospectively under Section 12.

3.3 Rate is locked per Referral (cohort freeze)

Each Referral's Commission Rate and audience discount are fixed at the values in effect at the moment the Referral is created, and remain locked for that Referral's entire 12-month Commission Window. A later change to your rate — whether an upgrade, a program-wide change, or your own election — applies only to new Referrals and never re-prices existing ones.

3.4 Commission window and basis

Commissions accrue only on Collected Revenue paid during a Referral's 12-month Commission Window. No commission accrues on any payment after month 12 of that Referral, including renewals. Commissions are earned on cash actually collected, computed monthly — never on projected or lifetime value. A Referred Customer who cancels mid-window earns you commission only on what they actually paid.

4. Attribution

4.1 How Referrals are tracked

Referrals are attributed through (a) your partner link (via a tracking cookie set when a visitor clicks it, valid for 60 days from the most recent click) and (b) your promotion code (when entered at checkout). Attribution is determined by Triviolt's affiliate platform of record, FirstPromoter, an independent third-party affiliate tracking platform. You receive your own partner dashboard on that platform showing your recorded clicks, referrals, and commission status, typically within minutes — the same records Triviolt uses.

4.2 Precedence

If both a partner-link click and a promotion code are present for the same purchase, the partner-link click takes precedence; the promotion code is a fallback used only when no qualifying link click is present. If two different partners could be credited for the same purchase, the partner-link click controls over a code, and the platform's deterministic attribution rule controls between competing clicks (currently the most recent qualifying click within the tracking window). Triviolt's platform records are the authoritative determination of attribution.

4.3 Attribution limits (important)

You acknowledge that attribution depends on tracking cookies and promotion codes, which are not perfect. In particular, subscriptions purchased through in-app purchase on the Apple App Store or Google Play are not visible to partner links or codes and cannot be attributed or commissioned. Your partner link directs users to web checkout for this reason. Triviolt does not guarantee that every customer you influence will be tracked, and commissions are payable only on Referrals actually recorded by the platform.

5. Partner obligations and prohibited conduct

You agree to promote Triviolt honestly and lawfully. You will not:

• Self-refer. You may not use your own Partner Tools to subscribe yourself, nor route your own, a household member's, or a controlled account's purchases through your Partner Tools.
• List codes on coupon or deal sites. You may not post your promotion code or partner link on coupon aggregators, deal-sharing sites, cashback sites, or similar.
• Bid on brand keywords. You may not bid on "Triviolt" or confusingly similar terms in paid search, or use Triviolt's name in ad copy or display URLs in a way that implies you are Triviolt.
• Mislead. You may not make false or unsubstantiated claims about the Service, spam, or use deceptive, unsolicited, or non-compliant marketing.
• Impersonate Triviolt or represent that you speak for or are employed by Triviolt.
• Exploit a position of authority. If you are a teacher, school employee, coach, tutor, or otherwise hold a position of authority or trust over students or their families, you may not use that position to promote Triviolt to students you currently teach or supervise, or to their families, and you must comply with your school's, district's, or employer's policies on outside compensation.

5.1 Customer data

Your partner dashboard may show limited referral data (such as masked customer identifiers, plan type, and commission amounts). You may not use referral data to identify, contact, or market to any Referred Customer, must keep it confidential and reasonably secure, and must delete any exported referral data on termination.

5.2 FTC disclosure

You must clearly and conspicuously disclose your material connection to Triviolt in the content itself wherever you promote the Service (for example, a visible "paid partnership" or "I earn a commission" statement in the video, post, or description), in compliance with the U.S. FTC Endorsement Guides and all applicable laws.

Fraud or a violation of the prohibited-conduct rules above — including self-referral or deceptive promotion — is a non-curable material breach and may result in immediate termination and forfeiture under Section 8. A first, inadvertent, and promptly correctable violation of Section 5.1 or 5.2 is a curable breach subject to Section 8's seven-day cure provision. If it is not cured within that period, it becomes a material breach and may result in withholding or forfeiture of commissions and termination.

5.3 Tag Triviolt in partner content

When you post content on a social media platform that promotes or features the Service, you must tag Triviolt's official account on that platform (where the platform supports tagging) in the post or video. This applies only to content about Triviolt — your other content does not need to tag us. Tagging helps us find and review partner content so that any potential issue (for example, a missing disclosure under Section 5.2) can be identified and corrected early. Official Triviolt account handles are listed in your partner dashboard.

6. Payment terms

• Commission hold. Each commission is held for 14 days after the underlying payment before becoming a Qualified Sale, to allow for refunds and disputes.
• Cadence. Qualified commissions are paid monthly, net 30. Balances below the minimum roll forward.
• Minimum payout. $25. Balances below $25 roll to the next statement.
• First-payout gate. Your first payout releases only after you have generated three (3) Paying Referred Customers (Section 2; distinct individuals, excluding you). Commissions accrued before you meet this gate are held, not forfeited, and release on the normal cadence once the gate is met. The gate applies once and never re-applies.
• Payout method. You must provide and verify a valid payout method (bank transfer via Wise) and complete required tax forms (Section 7) before any payment is issued. Triviolt pays Wise's transfer fee; where currency conversion applies, it occurs at Wise's prevailing rate. You are responsible for providing account details Wise can pay in your country. If a transfer fails or your country is unsupported, your balance is held, not forfeited, until a valid payout method is provided.
• Reversals. If a payment underlying a commission is refunded, disputed, charged back, or otherwise reversed — including after a commission has been paid — the corresponding commission is reversed and applied as a negative adjustment against your future balance. Triviolt will not invoice you to claw back a paid commission; negative balances carry forward and net against future earnings.
• Currency. Commissions are calculated and paid in U.S. Dollars.

7. Taxes

You are responsible for all taxes on your commissions. Before any payment, you must submit a valid IRS Form W-9 (U.S. persons) or Form W-8BEN / W-8BEN-E (or the applicable Form W-8 series form for your payee type) for non-U.S. persons, as applicable. Triviolt will issue tax information returns (such as Form 1099-NEC) as required by law. The Program is open to both U.S. and non-U.S. partners. For non-U.S. partners performing their promotional services entirely outside the United States, commissions are generally treated as foreign-source income not subject to U.S. withholding; a valid Form W-8 series form documenting non-U.S. status is required before any payment. Where withholding is required by law, Triviolt will withhold and remit as required.

8. Term and termination

This Agreement continues until terminated. Either party may terminate at any time for any reason on 14 days' written notice (email to [email protected] or to your registered email suffices). Triviolt may suspend or terminate immediately for fraud, deceptive conduct, a violation of Section 5's prohibited-conduct rules, or another non-curable material breach. For a curable breach — including a first, inadvertent, and promptly correctable violation of Section 5.1 or 5.2 — Triviolt will give you notice and seven (7) days to cure before terminating for cause.

Effect of termination:

• Voluntary / no-cause termination (either party): Your Partner Tools are deactivated at the effective date of termination. Commissions continue to accrue and be paid, on the normal cadence, for your existing Referrals through the remainder of each Referral's 12-month Commission Window. No new Referral may be created after termination. After termination, the first-payout gate in Section 6 no longer applies, and once the last Commission Window among your Referrals has closed, Triviolt will pay your final positive balance on the next payout cycle regardless of the $25 minimum.
• Fraud or material-breach termination: Your Partner Tools are deactivated immediately, and all unpaid commissions — accrued and future — are forfeited.

Sections 6, 7, 10 (as to post-termination restrictions), 11, 13, and 14 survive termination, together with any provision that by its nature should survive — including this Section 8's termination tail and the definitions, rate-lock, and attribution rules (Sections 2, 3.3, 3.4, 4) needed to administer it. Complimentary access under Section 9 ends at termination.

9. Complimentary account

So you can use and create content about the Service:

• Preview access. When you are onboarded (your code is live), Triviolt provides you 7 days of complimentary full access to the Family plan.
• Ongoing complimentary account. Once you have generated three (3) Paying Referred Customers (Section 2; the same threshold as the first-payout gate in Section 6), Triviolt provides you a complimentary Family plan for as long as this Agreement remains active.

This complimentary access:

• Continues only while this Agreement is active and is revoked on any termination;
• Includes AI credits capped at the plan's normal allotment;
• Is not commissionable and is excluded from your referral counts and from your own attribution;
• Constitutes a material connection that must be disclosed under Section 5.2.

10. Intellectual property and brand use

Triviolt grants you a limited, non-exclusive, non-transferable, revocable license to use Triviolt's name and logos solely to promote the Service under this Agreement and any brand guidelines we provide, including the use of accurate screenshots and screen recordings of the Service in your promotional content. You gain no other rights in Triviolt's trademarks or content. You may not modify Triviolt's marks, use them to disparage Triviolt, or register any confusingly similar mark or domain. This license ends on termination. You retain ownership of the content you create; you grant Triviolt a non-exclusive, worldwide license to reference, quote, and re-share your public Triviolt-related content in Triviolt's marketing channels, with attribution to you. After termination, Triviolt will make no new re-shares upon your written request.

11. Independent contractor; no agency

You are an independent contractor. This Agreement creates no employment, partnership, joint venture, or agency relationship. You have no authority to bind Triviolt or to make representations on its behalf. You are responsible for your own expenses, equipment, and taxes.

12. Changes to the Program

Triviolt may modify the Program, including rates, thresholds, discount templates, prohibited conduct, and these terms. Material changes take effect no earlier than fourteen (14) days after notice by email to your registered address; non-material changes take effect on notice (email or posting to the partner portal). Changes to Commission Rates and discounts are prospective only and do not re-price existing Referrals (Section 3.3). Your continued participation after a change takes effect constitutes acceptance. If you do not agree to a change, your remedy is to terminate under Section 8.

13. Disclaimers; limitation of liability; indemnity

• Disclaimer. The Program and Service are provided "as is." Triviolt disclaims all warranties to the maximum extent permitted by law. Triviolt does not warrant uninterrupted or error-free referral tracking, and does not warrant any level of earnings. Attribution can fail for reasons including, but not limited to, ad blockers, cleared or blocked cookies, cross-device or in-app purchases, private browsing, and outages of the tracking platform; Triviolt is not obligated to credit referrals that its tracking system did not record.
• Limitation of liability. To the maximum extent permitted by law, Triviolt's total liability arising out of or relating to this Agreement will not exceed the greater of one hundred U.S. dollars ($100) or the total commissions paid to you in the six (6) months preceding the event giving rise to the claim. Triviolt is not liable for indirect, incidental, special, consequential, or lost-profit damages.
• Indemnity. You will indemnify and hold Triviolt harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your marketing, your breach of this Agreement, your violation of law (including the FTC Endorsement Guides), or your content.

14. Governing law and disputes

This Agreement is governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules. Any dispute will be resolved by binding arbitration administered under the rules of the American Arbitration Association, seated in North Carolina, and you waive participation in any class action or class-wide arbitration. Either party may seek injunctive relief in a court of competent jurisdiction. For matters not subject to arbitration, the exclusive venue is the state and federal courts located in North Carolina.

15. General

• Entire agreement. This Agreement (with any addenda and the program materials it references) is the entire agreement between the parties on this subject and supersedes prior discussions.
• Assignment. You may not assign this Agreement without Triviolt's consent; Triviolt may assign it freely.
• Severability. If any provision is unenforceable, the rest remains in effect.
• No waiver. Failure to enforce a provision is not a waiver.
• Notices. Notices to Triviolt go to [email protected]; notices to you go to your registered email.

By enrolling in or continuing to participate in the Triviolt Partner Program, you acknowledge that you have read, understood, and agree to this Agreement.
